1. Name
The name of the organisation shall be "TWEEDDALE SPORTS COUNCIL".
2. Objects
The objects of Tweeddale Sports Council shall be:-
(a) To promote interest and participation in sport in the area covered by the former Tweeddale District Council.
(b) To co-ordinate the work of the various sports clubs and organisations including youth organisations, schools and recreational groups in Tweeddale both generally and in relation to specific projects.
(c) To examine the available sports facilities in Tweeddale as against current and anticipated needs and to make recommendations to Scottish Borders Council and any other appropriate body from time to time in this connection.
(d) To promote sports competitions, championships and social or other events as considered desirable.
(e) To assist local sports clubs, organisations and individuals resident in the area covered by the former Tweeddale District Council.
(f) To assist in the formation of sports clubs where none exists, or where the existing clubs are unable to fulfil current needs.
(g) To operate on behalf of Scottish Borders Council a scheme of revenue grant aid in respect of local sports clubs and individuals of recognised sporting ability.
(h) To encourage with the assistance of the education authorities, school pupils and school leavers to take up sporting activities.
(i) To receive reports and recommendations from local sports clubs and organisations on all matters concerning sport and to take appropriate action thereon.
(j) To publish and distribute up-to-date information of sporting and recreational activities, facilities and organisations.
(k) To liase with the Scottish Sports Council and the appropriate local authorities on all matters related to the development of sport and recreation in Tweeddale.
(l) To further the foregoing objectives by organising such activities, raising funds and taking such other action as deemed appropriate by the Tweeddale Sports Council.
3. Affiliation
3.1 All sports clubs and recreational organisations directly concerned with sport in Tweeddale may apply for affiliation to the Tweeddale Sports Council, which shall retain the right to reject any applications or to withdraw affiliation on any grounds which to them appears reasonable. Each affiliated club and organisation shall pay an annual affiliation fee of such amount as may be determined by Tweeddale Sports Council at its Annual General Meeting in each year, and such fees shall be payable on application or immediately after the Annual General Meeting.
3.2 Individuals directly concerned with sport in the area may apply to the Sports Council to become an individual member. Membership will only be granted if there is not a club in the area that can cater for the individuals specific sport or standard of competition. Individuals applying are required to have been a resident of the Scottish Borders area for a minimum of 12 months.
4. Membership
Membership of Tweeddale Sports Council shall consist of:-
(a) one representative of each club or organisation affiliated to Tweeddale Sports Council.
(b) one representative of the primary schools within Tweeddale.
(c) one representative of Peebles High School, being the only secondary school within Tweeddale.
(d) four elected councillors of Scottish Borders Council are to be appointed to Tweeddale Sports Council.
(e) one representative of Scottish Sports Council.
(f) such additional individual members as Tweeddale Sports Council, upon recommendation of the Executive Committee, may decide to accept into membership.
5. Office Bearers
5.1 The Office Bearers shall consist of the Chairman, a Vice-Chairman, a Secretary, a Treasurer and such others as Tweeddale Sports Council Should deem necessary.
5.2 If the Chairman is one of the elected members representing Scottish Borders Council on Tweeddale Sports Council, then the Vice-Chairman shall be a representative of a body in the membership of Tweeddale Sports Council other than that of Scottish Borders Council. If the Chairman is a representative of a body in membership of Tweeddale Sports Council other than Scottish Borders Council, then the Vice-Chairman shall be one of the elected members representing Scottish Borders Council on Tweeddale Sports Council.
5.3 The Secretary shall be an official of Scottish Borders Council, but shall have no voting rights. The Treasurer shall hold an appropriate accounting qualification or have suitable financial experience.
5.4 All Office Bearers shall retire at the Annual General Meeting of Tweeddale Sports Council but shall be eligible for re-election. When elected, Office Bearers shall relinquish any representative role of membership on behalf of clubs or other bodies, new representatives being appointed in their places.
5.5 The Secretary and Treasurer shall be elected at the Annual General Meeting and the Chairman and Vice-Chairman shall be elected at the first meeting of the Executive Committee thereafter which shall be held at the conclusion of the Annual General Meeting for that purpose.
6. Executive Committee
6.1 The ongoing work of Tweeddale Sports Council shall be carried on by an Executive Committee consisting of the following:-
(a) the Office Bearers of Tweeddale Sports Council;
(b) the four elected councillors of Scottish Borders Council appointed to Tweeddale Sports Council;
(c) one primary school’s representative from Tweeddale District appointed to Tweeddale Sports Council;
(d) one representative from Peebles High School, being the only secondary school in the Tweeddale area, appointed to Tweeddale Sports Council;
(e) six members of Tweeddale Sports Council representing separate sports;
(f) two other members of Tweeddale Sports Council who shall represent youth organisations.
6.2 The members of the Executive Committee in so far as not ex-officio shall retire at the Annual General Meeting of Tweeddale Sports Council but shall be eligible for re-election.
6.3 The Executive Committee shall have power to co-opt persons to fill casual vacancies therein but maintaining the foregoing categories of membership.
6.4 The Executive Committee shall meet at such intervals as they may determine having regard to the business to be transacted.
6.5 The notice calling the Annual General Meeting of Tweeddale Sports Council shall be accompanied by a report prepared by the Secretary of the work of the Executive Committee during the year ending 31 March.
6.6 Facilities for meetings of Tweeddale Sports Council and the Executive Committee will be granted by Scottish Borders Council.
7. Meetings
7.1 The Chairman, whom failing, the Vice-Chairman shall preside over all meetings of Tweeddale Sports Council and the Executive Committee. In the absence of both the Chairman and the Vice-Chairman, those present, as appropriate, shall appoint one of their number to preside.
7.2 The Annual General Meeting of Tweeddale Sports Council shall be held in May of each year.
7.3 For meeting of Tweeddale Sports Council, the quorum shall be one-third of the total membership and for meetings of the Executive Committee, five.
7.4 All meetings of Tweeddale Sports Council and the Executive Committee shall be called by the Secretary. Notice in writing shall be given as to the time and place thereof, and, in so far as is known, the business to be transacted.
Periods of notice shall be as follows:-
Tweeddale Sports Council - 14 days
Executive Committee - 7 days
7.5 A special General Meeting of Tweeddale Sports Council shall be held if requisitioned by any six of the affiliated clubs or organisations, in writing, addressed to the Secretary and stating the nature of the business proposed to be considered at such a meeting. Any Special General Meeting of Tweeddale Sports Council so requisitioned, shall be held within 21 days of receipt by the Secretary of such requisition.
7.6 Meetings of Tweeddale Sports Council shall be called by notices addressed to the Secretaries of the affiliated clubs and organisations and to individual members, as appropriate, and meetings of the Executive Committee by notices addressed to individual members thereof.
7.7 Meetings of Tweeddale Sports Council and the Executive Committee shall be minuted by the Secretary
7.8 Voting at meetings of Tweeddale Sports Council and the Executive Committee shall be on the basis of one vote per member present and the Chairman of the meeting shall have a casting as well as a deliberative vote. Voting shall be by show of hands or by a roll-call as may be decided by the Chairman.
7.9 Organisations affiliated to Tweeddale Sports Council, or represented on the Executive Committee shall be entitled to appoint a substitute member (or members) in the event of the nominated member(s) being unable to attend any of the meetings of the above Council or Committee.
8. Grants
Tweeddale Sports Council may make grants of a revenue nature to affiliated clubs, organisations and individuals, and the Executive Committee shall have the power to decide whether or not a grant is to be made and the amount thereof. Qualification for assistance for clubs, organisations and individual members shall be one year’s membership of Tweeddale Sports Council, although the Executive Committee shall have the discretion to make awards to clubs, organisations and individuals whose membership has been of a shorter duration. Individuals who are members of affiliated clubs shall also qualify for financial assistance if their club has held one year’s membership of Tweeddale Sports Council although the Executive Committee shall have the discretion to make awards to individuals whose clubs have held membership of a shorter duration.
9. Finance
9.1 An Independent Examiner shall be appointed at each Annual General Meeting to audit the accounts of Tweeddale Sports Council, and to report thereon if necessary to the Annual General Meeting. The Independent Examiner shall not be a member of Tweeddale Sports Council.
9.2 The financial year for Tweeddale Sports Council shall be from 1 April to 31 March.
9.3 Tweeddale Sports Council may receive Grants from Scottish Borders Council, the Scottish Sports Council or other organisations at their discretion for general or specific purposes.
9.4 All monies received on behalf of the Tweeddale Sports Council shall be paid into a Bank Account in the name of Tweeddale Sports Council, a Bank approved by the Executive Committee.
9.5 All payments of revenue grants and any other payments shall be made by cheque drawn on the Bank Account of Tweeddale Sports Council and shall be signed by the Treasurer and counter-signed by the Chairman (or in his absence the Vice-Chairman.)
9.6 The Executive Committee may authorise expenditure out of Tweeddale Sports Council’s funds for the furtherance of any of the objectives of the Sports Council.
9.7 An Honorary Auditor shall be appointed at each Annual General Meeting to audit the Accounts of Tweeddale Sports Council and to report thereon if necessary to the Annual General Meeting. The Honorary Auditor shall not be a member of Tweeddale Sports Council.
9.8 A copy of the audited Accounts for each year, together with any Report by the Honorary Auditor thereon, shall be forwarded within seven days after the Annual General Meeting to Scottish Borders Council.
10. Amendment of Constitution
No amendment shall be made to the Constitution except by a resolution approved by a two-thirds majority of those members present and voting at an Annual General Meeting or at a Special General Meeting of Tweeddale Sports Council, providing always that at least fourteen days’ notice of any proposed amendment shall have been given to Members of the Tweeddale Sports Council.
Any amendment so made to the Constitution shall be intimated to Scottish Borders Council.
11. Dissolution
11.1 Tweeddale Sports Council shall not be dissolved except by resolution carried by a majority of two-thirds of those members present and voting at a Special General Meeting called for the purpose or by a resolution by Scottish Borders Council.
11.2 In the event of the Tweeddale Sports Council being dissolved all the funds thereof shall be transferred to Scottish Borders Council for disposal for such sporting, recreation and other purposes as they in their sole discretion may determine.
